ITEM 5.02(b)  DEPARTURE OF DIRECTOR

The Procter & Gamble Company (the "Company") announced today that Robert D.
Storey is retiring from the Company's board of directors effective immediately.
Mr. Storey has reached the customary age (70) for retirement from the board. The
Company is filing this 8-K pursuant to Item 5.02(b), "Departure of Directors or
Principal Officers".
