ITEM 5.02(b)    DEPARTURE OF DIRECTOR

     On April 15, 2005, The Procter & Gamble Company (the "Company") issued a
press release announcing the resignation of Domenico De Sole as a director of
the Company, effective immediately.  The press release is attached hereto as
Exhibit 99 and is incorporated herein by reference.
