      On  February 13, 2006, Charles Prince, Chief Executive
Officer,  Citigroup  Inc.,  was  elected  to  the  Board  of
Directors  of Johnson & Johnson.  Mr. Prince is expected  to
be  named to the Compensation & Benefits Committee  and  the
Nominating & Corporate Governance Committee.
