Dell, the Chairman and Chief Executive Officer of the Company, and 2,500,000 shares of Class A Common Stock held by Susan Lieberman Dell Separate Property Trust (the “Trust”). Mr. Dell has advised the Company that the conversion of such shares from Class A Common Stock to Class C Common Stock was made in connection with the anticipated future charitable donation of some or all of the shares of Class C Common Stock by Mr. Dell and the Trust.
